1. Scope
These Terms of Use ("Terms of Use") govern the use of the event software application "Orbance" by end users ("User"). The provider of the App is Wiedenroth Technologies GmbH with its registered office at Speicherstraße 9, 31134 Hildesheim, hereinafter referred to as "Wiedenroth Technologies".
By registering in the App, the User agrees to these Terms of Use. A contract between the User and Wiedenroth Technologies for the use of Orbance is formed upon completion of registration.
Wiedenroth Technologies reserves the right to amend these Terms of Use at any time. Changes will be displayed in the App. If the User continues to use the App, the changes are deemed accepted. If the User does not accept the changes, they must delete their account.
2. Scope of Services and Right of Use
2.1
Wiedenroth Technologies provides Orbance as a platform for organising and managing events.
The App offers, among other things, the following features:
- Creating and managing events
- Participant registration and communication
- Online ticket shops and ticket sales (including embedding in websites)
- Payment processing via connected payment service providers (e.g. Stripe Connect, PayPal Commerce)
- Email delivery (via Orbance or optionally via User-configured SMTP)
- Attendance and certificate management
- Invoicing
- Organisation management
2.2
Wiedenroth Technologies grants the User a simple, non-transferable right of use for the duration of the usage contract.
2.3
The App is provided as a SaaS solution via the internet. The User is solely responsible for their own internet connection, end devices, and their security.
3. Registration
Use of Orbance requires registration with the following mandatory data:
- First name, last name
- Email address
- Password
- Organisation/institution, if applicable
The data provided must be accurate and up to date. The User is obliged to update any changes without undue delay.
4. Access and Security
Access is granted via username (email) and password. It is the User's responsibility to keep access credentials confidential. If a third party performs actions using the access credentials, these shall be deemed authorised by the User.
5. User Obligations
- No unlawful content or use
- No attacks on system integrity
- No unauthorised disclosure of access credentials or protected areas of the App
- Truthful, complete, and up-to-date data maintenance
- Compliance with all legal obligations applicable to the User (in particular consumer, tax, copyright, competition, and data protection law)
- Ensuring that all content published or sent via Orbance is lawful and that the User holds the necessary rights
In the event of a breach, Wiedenroth Technologies may suspend access, disable individual features (e.g. ticket shop or email delivery), or terminate the contract.
6. Data Protection
6.1
Wiedenroth Technologies collects, processes, and uses personal data of a user without further consent to the extent necessary for establishing and performing the contract and for billing purposes. Further information is available online in our Privacy Policy.
6.2
Wiedenroth Technologies expressly informs the customer that, given the current state of technology, data protection for data transmissions in open networks such as the internet cannot be comprehensively guaranteed. The customer is aware that the provider may, from a technical perspective, view the website content stored on the web server and, under certain circumstances, other data stored there by the customer at any time. Other participants on the internet may also, under certain circumstances, be technically capable of unlawfully interfering with network security and monitoring message traffic. The customer bears full responsibility for the security and safeguarding of data transmitted by them to the internet and stored on web servers.
6.3
To the extent that Wiedenroth Technologies acts as a processor within the meaning of Art. 28(3) GDPR on behalf of the customer, special provisions on data processing apply in addition to these General Terms and Conditions, which are available under Data Processing Agreement.
7. Ticket Shop, Payments, and Communication
7.1 Ticket Shop and Sales
If the User uses the ticket shop or ticket plugins, ticket sales are conducted exclusively in the User's own name and on the User's own responsibility. The User alone is the contractual partner of ticket buyers. Wiedenroth Technologies does not become a party to the purchase contract and does not provide sales services to end customers; it merely provides the technical platform.
The User is solely responsible in particular for:
- Content, prices, availability, cancellation and withdrawal terms of their events
- Complete, current, and legally compliant imprint, privacy policy, and terms and conditions in the ticket shop
- Tax and accounting obligations arising from ticket sales
- Compliance with consumer, youth protection, venue rules, and other event-related regulations
- The selection, configuration, and lawful use of connected payment service providers (e.g. Stripe Connect, PayPal)
7.2 Email Delivery (SMTP)
Orbance may send emails on behalf of the User — either via an email service operated by Wiedenroth Technologies or via SMTP servers configured by the User. Technical delivery is carried out on instruction and using the settings stored by the User.
When using a custom SMTP configuration, the User is solely responsible for:
- The lawfulness of sender address, sender name, and the content of messages sent
- Authorisation to use the SMTP server and the stored access credentials
- Technical setup (e.g. SPF, DKIM, DMARC) and deliverability
- Compliance with unfair competition law, GDPR, imprint requirements, and any required consents
Wiedenroth Technologies does not review the User's content or SMTP configurations for legal permissibility, unless legally mandatory.
7.3 Payment Processing
Payments in the ticket shop are processed — depending on configuration — via the User's payment service providers (e.g. Stripe Connect, PayPal Commerce). The User is responsible for setting up, verifying, and lawfully using their payment accounts. Disputes between the User and ticket buyers regarding payments, refunds, or services shall be resolved exclusively between those parties.
8. Availability and Liability
Wiedenroth Technologies endeavours to ensure high availability but cannot guarantee uninterrupted use. Maintenance work, further development, or external factors (including outages of payment service providers, the User's SMTP servers, or third-party providers) may lead to temporary restrictions.
Wiedenroth Technologies is liable without limitation in cases of intent and gross negligence as well as for injury to life, body, or health. In the event of slight negligence in breach of material contractual obligations, liability is limited to the typical, foreseeable damage arising from the contract. Otherwise, liability is excluded to the extent permitted by law.
Wiedenroth Technologies is not liable for content, offers, prices, legal texts, emails, or payment transactions that the User configures, publishes, or initiates via Orbance, including ticket shop content and messages sent via SMTP configured by the User. Likewise, no liability for outages or malfunctions of SMTP servers, payment accounts, or third-party services connected by the User themselves.
The User acknowledges that internet-based SaaS services may experience downtime. Claims due to temporary unavailability are excluded to the extent permitted by law, unless Wiedenroth Technologies acted intentionally or with gross negligence.
9. Indemnification
The User shall indemnify Wiedenroth Technologies against all third-party claims asserted against Wiedenroth Technologies due to or in connection with the User's use of Orbance, in particular due to:
- Content, offers, and sales in the ticket shop or in ticket plugins
- Missing, incomplete, or unlawful imprint, privacy policy, or terms and conditions information provided by the User
- Messages sent via SMTP configured by the User
- Breaches of data protection, competition, tax, or consumer protection law
- Disputes with ticket buyers, payment service providers, or authorities arising from the User's ticket business
The indemnification includes reasonable costs of legal defence. The User shall promptly support Wiedenroth Technologies in defending such claims with the necessary information, to the extent reasonable.
10. Term and Termination
The usage contract is concluded for an indefinite period. The User may terminate it at any time by deleting their account. Wiedenroth Technologies may terminate the contract with reasonable notice or without notice for good cause.
After termination of the contract, Wiedenroth Technologies may delete stored data, unless statutory retention obligations apply.
11. Applicable Law and Jurisdiction
German law applies. The place of jurisdiction is, to the extent legally permissible, the registered office of Wiedenroth Technologies.
